Terms & Conditions



These Terms & Conditions set out the standard commercial terms that apply to quotations, sales orders, invoices and services supplied by Corvio Pty Ltd unless otherwise agreed in writing.

These Standard Sales Terms apply to all quotations, sales orders, invoices, proposals and services supplied by Corvio Pty Ltd ABN 71 694 524 519 ("Corvio", "we", "us", or "our"), unless otherwise agreed in writing.

By accepting a quotation, proposal or sales order issued by Corvio, engaging us to provide services, paying an invoice, or otherwise instructing us to commence work, you agree to be bound by these Standard Sales Terms.

1. Application of These Terms

These Standard Sales Terms apply except to the extent that Corvio and the customer have entered into a separate written agreement, including a Master Services Agreement, Statement of Work, Schedule, Proposal, Subscription Agreement or other signed agreement.

If there is any inconsistency between these Standard Sales Terms and any separate written agreement signed by the parties, the separate written agreement prevails to the extent of the inconsistency.

3. Quotes, Orders and Acceptance

Any quotation, proposal, estimate or sales order issued by Corvio is subject to these Standard Sales Terms unless expressly stated otherwise.

A customer is taken to have accepted these Standard Sales Terms when the customer:

  • accepts a quotation, proposal or sales order issued by Corvio

  • signs a document incorporating or referring to these terms

  • instructs Corvio to commence work

  • pays a deposit or invoice issued by Corvio

  • continues to use services supplied by Corvio after receiving these terms

Quotes are valid for the period stated in the quote, proposal or sales order, or if no period is stated, for 14 days from the date of issue.

4. Services

Corvio may provide services including, without limitation:

  • Odoo ERP consulting, implementation, configuration and support

  • project delivery and advisory services

  • systems integration and automation services

  • ICT, software, cloud, telephony, infrastructure and related technology services

  • managed support, prepaid service packs and subscription-based services

All services are subject to scope, availability, assumptions, dependencies and customer cooperation.

5. Pricing and GST

Unless otherwise stated, all prices are in Australian Dollars (AUD) and are exclusive of GST.

GST will be added where applicable.

Any pricing, inclusions, packages or examples published on our website are indicative only unless expressly confirmed in writing by Corvio.

6. Invoicing and Payment

Corvio may invoice the customer in advance, on acceptance, by milestone, on completion, monthly, annually, on usage, or as otherwise set out in the applicable quotation, proposal, sales order or agreement.

Unless otherwise stated in writing:

  • prepaid service packs and upfront project deposits must be paid before work commences

  • subscription or recurring services may be invoiced in advance

  • all other invoices are payable within 7 days of invoice date

Corvio may withhold commencement of work, delivery, access, support, project scheduling, handover, release, deployment or further services until any required payment has been received in cleared funds.

7. Late Payment

If any amount is overdue, Corvio may, to the maximum extent permitted by law:

  • charge interest on overdue amounts at 8% per annum, calculated daily

  • suspend or withhold services, support, access or deliverables

  • refuse to commence new work

  • recover reasonable costs of collection, recovery or enforcement

Corvio’s exercise of any of these rights does not waive any other rights.

8. Prepaid Hours and Service Packs

Where the customer purchases prepaid hours, service credits or support packs:

  • such hours must be used for the services described in the applicable quote, proposal or sales order

  • hours are deducted for work performed by Corvio in delivering those services

  • time may be recorded in minimum billing increments determined by Corvio, including 15-minute increments where applicable

  • unused hours are non-refundable, unless otherwise required by law or expressly agreed in writing

  • unused hours are non-transferable unless Corvio agrees otherwise in writing

  • any expiry period, inclusions, exclusions or usage rules stated in the applicable quote, proposal or sales order will apply

If purchased hours are exhausted, additional work will be charged at Corvio’s then-current rates unless otherwise agreed in writing.

9. Subscriptions and Recurring Services

Where services are provided on a recurring or subscription basis:

  • fees are payable in advance unless otherwise agreed

  • inclusions apply only to the relevant billing period unless expressly stated otherwise

  • unused inclusions do not roll over unless expressly stated otherwise

  • additional work outside the included scope or allowance will be charged separately

  • recurring services may be subject to a minimum term where stated in the applicable agreement or order

10. Scope, Assumptions and Variations

Any scope, estimate, timeline, deliverable or pricing issued by Corvio is based on the information available at the time and on stated or implied assumptions.

If the scope changes, assumptions prove incorrect, or additional work is required, Corvio may issue a revised quote, change request or additional invoice.

Work outside the agreed scope, including rework caused by customer delays, incomplete information, changed instructions, third-party issues, or additional requirements, may be charged separately.

11. Customer Responsibilities

The customer must:

  • provide timely access to information, systems, users, stakeholders and decision-makers

  • provide accurate and complete information

  • review deliverables and respond within reasonable timeframes

  • obtain and maintain required third-party licences, subscriptions, consents and approvals unless expressly included in Corvio’s scope

  • ensure its own staff, contractors and representatives cooperate reasonably with Corvio

  • maintain appropriate backups, security, business continuity and internal controls unless expressly included in Corvio’s scope

Corvio is not responsible for delay, cost or issues caused by the customer’s failure to meet these responsibilities.

12. Third-Party Products and Services

Corvio may recommend, configure, integrate or assist with third-party software, platforms, hosting, telecommunications, plugins, apps, infrastructure or other services.

Unless expressly stated otherwise:

  • those third-party products and services are supplied under the relevant third party’s own terms

  • the customer is responsible for all third-party subscription, licensing, usage and vendor charges

  • Corvio does not warrant the availability, performance, compatibility, security or fitness of third-party products or services

  • Corvio is not liable for third-party outages, defects, pricing changes, vendor conduct, data loss, API changes, deprecations, licence restrictions or other third-party issues

13. Subcontractors and Personnel

Corvio may engage employees, contractors, subcontractors or specialist providers to perform or support all or part of the services.

Corvio remains responsible for the services it agrees to supply, but the customer acknowledges that delivery may involve third-party personnel, including offshore providers where appropriate.

14. Timeframes and Delivery

Any delivery dates, milestones, implementation plans, estimates or timeframes provided by Corvio are indicative only unless expressly stated otherwise in writing.

Corvio is not liable for delay caused by customer inaction, third-party vendors, data quality issues, software limitations, dependency failures, force majeure events, or matters outside Corvio’s reasonable control.

15. Acceptance of Deliverables

A deliverable, milestone or work item will be taken to be accepted if:

  • the customer confirms acceptance

  • the customer uses the deliverable in production or for business purposes

  • the customer does not raise any material issue within a reasonable period after delivery

  • the relevant project phase is completed and no formal rejection process has been agreed

Minor defects, omissions or non-material issues do not entitle the customer to withhold acceptance or payment.

16. Intellectual Property

Each party retains ownership of its pre-existing intellectual property.

Upon full payment of all amounts due, the customer receives a non-exclusive licence to use the deliverables created specifically by Corvio for the customer for the customer’s internal business purposes, unless otherwise agreed in writing.

Corvio retains ownership of:

  • its methodologies, know-how, templates, tools, frameworks, code libraries, connectors, accelerators and pre-existing materials

  • any general skills, experience, ideas, concepts, techniques or know-how developed or used in performing the services

Nothing in these Standard Sales Terms transfers ownership of third-party software, platform IP, vendor code or licence rights.

17. Confidentiality

Each party must keep confidential any non-public commercial, technical, financial or business information disclosed by the other party in connection with the services, and must not use or disclose that information except as reasonably required for the purposes of the engagement, as authorised by the other party, or as required by law.

This clause does not apply to information that is public other than through breach of confidence, already known lawfully, or independently developed without use of the confidential information.

18. Suspension and Termination

Corvio may suspend services immediately if:

  • an invoice is overdue

  • the customer breaches these Standard Sales Terms or any applicable agreement

  • Corvio reasonably believes continued supply would expose it to legal, commercial, operational or security risk

Either party may terminate a service engagement or order by written notice if the other party commits a material breach and fails to remedy that breach within a reasonable time after receiving notice.

Termination does not affect accrued rights, payment obligations, or any clause intended to survive termination.

19. Refunds and Cancellations

Unless otherwise required by law or expressly agreed in writing:

  • deposits and prepaid fees are non-refundable

  • prepaid hours or service packs are non-refundable once purchased

  • recurring fees already invoiced for a current billing period are non-refundable

  • work completed or committed before cancellation remains payable

If a customer delays, pauses or cancels work after acceptance, Corvio may invoice for work already performed, time already allocated, non-cancellable commitments, and reasonable winding-down costs.

20. Warranties and Australian Consumer Law

To the maximum extent permitted by law, Corvio excludes all warranties, representations and guarantees not expressly stated in these Standard Sales Terms or any applicable written agreement.

Nothing in these Standard Sales Terms excludes, restricts or modifies any rights or remedies the customer may have under the Australian Consumer Law or any other law to the extent such rights cannot lawfully be excluded.

Where liability cannot lawfully be excluded, it is limited to the maximum extent permitted by law.

21. Limitation of Liability

To the maximum extent permitted by law, Corvio’s total aggregate liability arising out of or in connection with the services, any quotation, proposal, sales order, invoice, or these Standard Sales Terms is limited to the total fees paid by the customer to Corvio for the specific services giving rise to the claim during the 3 months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by law, Corvio is not liable for any:

  • indirect, incidental, special or consequential loss

  • loss of profit, revenue, business, goodwill, opportunity or anticipated savings

  • loss, corruption or inaccuracy of data

  • business interruption

  • loss arising from third-party software, vendors, infrastructure or services

  • loss caused by customer acts, omissions, instructions or delays

22. Force Majeure

Corvio is not liable for failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including acts of God, natural disasters, outages, telecommunications failures, cyber incidents, industrial disputes, government actions, pandemics, or third-party service failures.

23. General

If any part of these Standard Sales Terms is held to be invalid or unenforceable, that part will be severed and the remaining terms will continue in full force.

A failure or delay by Corvio to exercise a right does not waive that right.

These Standard Sales Terms may be updated by Corvio from time to time by publication on its website, but the version applying to a particular order or engagement will generally be the version current at the time that the relevant quote, proposal, sales order or invoice was accepted, unless otherwise agreed.

24. Governing Law

These Standard Sales Terms are governed by the laws of Queensland, Australia.

The parties submit to the non-exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia.
